This Terms and Conditions Agreement (the “Agreement”) governs your use of the Guildhall Precious Metals Online website and products. Guildhall Precious Metals Online is a dba of Guildhall Wealth Management Inc., which is a corporation engaged in the business of purchasing and selling precious metals. By accessing this website and software provided through or in connection with Guildhall Precious Metals Online, you acknowledge that you have read, understood, and agree to be bound by this Agreement, regardless of whether you are a registered member or a guest.

Placing an Order
Precious metals products available on this site can be bought or sold by registered customers or online guests. Customers registering to the site must provide accurate and complete information, and keep that information updated. All registered accounts require valid government issued photo identification when registering. By registering for an online account, once approved for Guildhall Precious Metals Online account, you can place real time orders with Guildhall during store hours. If you wish to register now you can do so here.
Guildhall offers volume discounts on the site and requests that customers contact us directly should they wish to order more than the amounts displayed. This allows Guildhall to offer additional discounts (if applicable) on larger orders. Please call 1-866-274-9570 or email and ask to speak to a Guildhall Representative. All prices are in USD and are converted into CAD at current rates which include a competitive premium to allow for exchange rate fluctuations. Please contact your Guildhall Representative for current conversion rates.

1. CHANGES TO THE AGREEMENT
We may change the terms of this Agreement at any time. Notification of any changes or updates will be located below the “Terms and Conditions” caption. You may access this document at any time by selecting the Terms of Use link located at Guildhall Precious Metals Online. Your use of Guildhall Precious Metals Online after changes are made to this Agreement means that you agree to be bound by such changes. As our business changes constantly, this Agreement and other pertinent company policies may change also. You should check our website frequently to see recent changes.

2. LEGAL DISCLAIMER
Guildhall Precious Metals Online is not a registered broker-dealer or licensed financial advisor. Before selling or buying any investment, you should consult with a licensed financial “professional” to verify pricing information and to solicit advice as to the appropriateness of a given transaction or investment.

3. REGISTRATION TO OPEN AN ACCOUNT
In order to purchase products, you may register and open and account with Guildhall Precious Metals Online. When you create your account, you must provide accurate and complete information, and keep that information updated. Further, you are responsible for any fees or charges incurred to your account by accessing Guildhall Precious Metals Online through an Internet access provider or other third party service. You may never use another My Account without permission.By providing Guildhall Precious Metals Online your email address you consent to our using the email address to send you Service-related notices, including any notice required by law, in lieu of written communication by postal mail. You agree to receive Guildhall’s newsletter, company product information and related news including changes to Guildhall Precious Metals Online features and special offers. You may withdraw your consent at any time.

4. PRIVACY
Registration data and other information about you are subject to our Privacy Policy. If you are located outside of Canada, note that information you provide to us is being sent to Canada. By subscribing to Guildhall Precious Metals Online, you consent to your data being sent to Canada and providing express consent for all email communication. If you believe someone has accessed Guildhall Precious Metals Online using your user name and password without your authorization, you must immediately notify us via email. You may contact us via the “Contact” page located on Guildhall Precious Metals Online.

5. USE OF SITE
While using any Guildhall Precious Metals Online product or service, you agree not to: Your use of this site shall be governed in all respects by the laws of the province of Ontario, Canada, without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of bullion products) shall be in the courts in the province of Ontario, Canada. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of Guildhall bullion products) must be commenced within one (1) year after the claim or cause of action arises. Guildhall`s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Guildhall may assign its rights and duties under this Agreement to any party at any time without notice to you.

6. LIMITATIONS ON USE
Access to the account areas of Guildhall Precious Metals Online is solely limited to the registered account holder and is non-transferable to any third party. Only one individual may access Guildhall Precious Metals Online at the same time using the same user name or password, unless otherwise expressly permitted in writing by Guildhall Precious Metals Online. The content available through Guildhall Precious Metals Online, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio (the “Content”), and all intellectual property rights related thereto, is our property or the property of Guildhall Precious Metals Online or our licensors and is protected by copyright and other intellectual property laws. You may display or print the Content for your personal, non-commercial use only. However, Guildhall Precious Metals Online reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property right of another or (d) offensive or otherwise unacceptable to Guildhall Precious Metals Online in its sole discretion.

7. ORDER PROCESSING
Guildhall Precious Metals Online uses a live pricing system; all prices quoted on the Website are subject to market change.

8. AVAILABILITY & DELIVERY
All Products are subject to availability. Once an order is confirmed and you receive a trade or confirmation number, it is a legal binding order and may be changed only at the discretion of Guildhall Precious Metals Online. Delivery is free on orders over C$1000. **COVID UPDATE** Canada Post is under a “Drop, Knock, and Leave” policy. Please leave your Date of Birth in the notes section if you prefer to have orders shipped directly to the Post Office closest to your home address.

9. RISK & TITLE
The Products will be at your risk from the time of receipt by you. Ownership of the Products will only pass to you when we receive full payment of all sums due in respect of any and all Products ordered by you from us: a) which have been delivered; or b) in respect of which an Order Confirmation has been issued to you. Bullion Products may be stored in the Guildhall Depository. A separate contract is required for insured Custodial Storage in a safe, secure, private vault in Canada, USA or Singapore on an allocated and segregated basis with no third party liability. 10. SECURING YOUR ORDER
Once an order has been submitted you will receive an order confirmation via email. This indicates that your order has been secured. All orders are held for a maximum of 48 hours to allow for secured payment. Please refer to payment options to learn more about methods. If your order exceeds $5,000 CAD consider contacting a Guildhall representative directly to place the order. Balances are due within two business days of receiving your Order Confirmation.

11. PAYMENT OPTIONS FOR ONLINE ORDERS
Guildhall Precious Metals Online accepts payments by cash, PayPal, certified cheque, money order, bank draft or bank wire transfer. Each form of payment is subject to terms and limitations specific to each payment type. All transactions require valid government issued photo identification when registering an account and when picking up product. All payments that are sent by mail to Guildhall Wealth Management must be postmarked within one business day of the time of your Order Confirmation and must be received by Guildhall within five business days of receipt of your Order Confirmation. Cheques, drafts, should be made out to Guildhall Wealth Management Inc.

a) Cash – Guildhall accepts cash as payment for orders up to C$9,800. Customers that have placed orders online and who wish use cash must complete payment to Guildhall within one business day of your Order Confirmation. Payment must be made in person at our Markham office during our posted operating hours. Multiple cash transactions of $5,000 CAD or greater, or multiple smaller transactions within a 24 hour period that total $10,000 CAD or more, will NOT be accepted.

b) Credit Card – Guildhall accepts credit cards for payment of physical precious metals. There is a fee of 2.75% which will apply over the cost of bullion.

c) Pre-authorized debit (or PAD) is a payment method authorized to Guildhall customers only. Auto-debit is free, seamless and convenient, especially for recurring orders. Customers that have previously purchased and established themselves as legitimate persons are eligible for the Pre-Authorized Debit program. Guildhall customers registered to the PAD program should select cash online as the payment method then contact Guildhall to request the funds be transacted using the PAD. Guildhall will then have the funds debited to the customer’s account in Canadian funds. Pre-existing customers of Guildhall may apply to utilize the PAD.

d) Certified personal and certified business cheques are accepted for purchases up to $10,000CAD. Customers wishing to purchase more than $10,000 are asked to consider using wire payment or purchase their bullion products directly with a Guildhall representative. For guests of Guildhall Precious Metals Online wishing to use a certified cheque the cheque must be postmarked within one business day of the time of your Order Confirmation and must be received by Guildhall Wealth made out to Guildhall Wealth Management Inc. within five business days of receipt of your Order Confirmation. Orders paid by personal cheque may be held for up to 10 calendar days prior to processing to allow for full clearance of the cheque through the banking system. Certified cheques may be held for up to 7 days prior to processing the order to allow for full clearance of the cheques through the banking system. Guildhall Wealth Inc. will only accept cheques from Canadian financial institutions which have pre-printed account information. Guildhall recommends that orders in excess of $10,000 be paid by wire transfer.

e) Bank drafts issued by Canadian financial institutions are accepted for payments up to $10,000. Your draft must be postmarked within one business day of the time of your Order Confirmation and must be received by Guildhall Wealth Management Inc. within five business days of receipt of your Order Confirmation. Orders paid by bank draft are subject to as much as a five business day holding period prior to processing to allow for full clearance of the draft through the banking system.

f) Wire transfers are the preferred form of payment for orders over $1,000. Wire transfers provide for the fastest processing and delivery of your order. There is no maximum value for wire transfer payments. Your wire transfer must be completed within one business day of receipt of your Order Confirmation. Once your payment by wire transfer has been confirmed and funds deposited into Guildhall’s account there is no holding period and your order will be processed immediately. Specific delivery times may still apply, but Guildhall will inform the customer of expected delivery times on their order. Please add $10.00 to your payment for the wire transfer fee.
All United States and international orders must be paid by wire transfer. Any payment that exceeds $10,000 must be paid by wire transfer.

All United States and international orders must be paid by wire transfer. Any payment that exceeds $5,000 must be paid by wire transfer.

12. HOLDING PERIOD
All bank drafts will be subject to a holding period of five business days prior to processing your order. Personal and business cheques are subject to a 10 calendar day holding period. The holding period for drafts and cheques will begin on the first business day following receipt of your payment to Guildhall Wealth Management Inc. The day your draft or cheque is received by Guildhall not included as a full business day for purposes of calculating the holding period. For immediate processing of your online order of more than $1000, bank wire transfer is always recommended.

13. IN OFFICE PURCHASE OR PICK-UP
Products that Guildhall has agreed to sell to you may be collected directly from Guildhall by prior appointment from our offices which are under surveillance. Please note we do not keep large amounts of product on the premises and therefore ask you not to come to the office to collect products without a prior appointment. Customers may visit our Markham office during our posted business hours by appointment only. Customers wishing to visit Guildhall’s offices outside of regular business hours are asked to set up a specific appointment, and Guildhall will do its best to accommodate where possible. Should you wish to collect your products in person at Guildhall’s premises you must produce identification and a copy of the invoice for the products. Guildhall will not release products to 3rd parties without prior arrangement and this may not always be possible. Please contact us to discuss this before you send anyone to collect. Please note that our standard holding periods for personal cheques, business cheques and bank drafts still apply for purchases of pick-up merchandise, as detailed above. Guildhall Wealth will only release bullion upon receipt of full, cleared payment. There are no additional fees for in-office pickups.

14. NON-PAYMENTS AND CANCELLATIONS
If Guildhall does not receive payment within the period of time stated above, or if your mailed payment is postmarked more than one business day from the time of your order, Guildhall Wealth Management Inc. reserves the right to cancel your order.

15. MARKET LOSS POLICY
All bullion sales are final. There are no return privileges on bullion items. When purchasing bullion from Guildhall Precious Metals Online the price is locked as soon as you have completed your checkout and received a trade confirmation via email. Once your trade confirmation has been assigned to your order the price is locked in and the transaction may not be cancelled. Any deficit between the price at which the order was locked in and offsetting purchase price and/or prices is the customer’s responsibility. Guildhall reserves the right to charge a cancellation fee to the provided credit card should the customer default on payment. Any market gain on cancellations shall remain the property of Guildhall Precious Metals Online.

16. RETURN / BUY-BACK POLICY (Sell Your Precious Metals to Guildhall)

  • Guildhall actively buys-back the precious metals purchased through us. Clients can return the products in person or ship the products back to Guildhall for verification (client will be responsible for shipping costs).
  • GWM will assay the products and provide a sell order. Once the buy-back price is determined and agreed upon, the client will receive payment within 10 business days.
  • Buy-back price is based on the current spot market price, market conditions, and fundamentals relating to supply and demand. Guildhall reserves the right to reject sale requests if bullion is not deemed to be good or if not purchased through GWM.

17. LIABILITY
Your access to and use of www.guildhallpreciousmetals.com is at your sole risk. We make no warranty that the content of the Website is error-free or timely with any updates. We will not be liable for any viruses or any other disabling features that affect your access to or use of the Website, nor any incompatibility between the Website and other websites, services, software and hardware, nor any delays or failures you may experience in initiating, conducting or completing any transmissions or transactions in connection with the Website. Customer hereby indemnifies and saves harmless Guildhall Precious Metals Online from and against all claims, liabilities losses or costs suffered or incurred by any third parties caused by, arising out of or related to the Customer’s use of, inability to use or failure of the services contemplated by these Terms and Conditions.

18. GENERAL
This Agreement contains the final and entire agreement between you and Guildhall Precious Metals Online regarding your use of Guildhall Precious Metals Online and supersedes all previous and contemporaneous verbal or written negotiations, understandings, or agreements regarding your use of Guildhall Precious Metals Online. Guildhall Precious Metals Online may discontinue or change Guildhall Precious Metals Online or its availability to you, at any time. This Agreement is personal to you, which means that you may not assign your rights or obligations under this Agreement to anyone. No third party is a beneficiary of this Agreement. You agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the Province of Ontario, Canada applicable to contracts made entirely within Ontario and wholly performed in Ontario, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or provincial court located in Ontario. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

19. INDEMNIFICATION
You agree to indemnify, defend and hold Guildhall Precious Metals Online harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees), or other expenses that arise directly or indirectly out of or from (a) your breach of this Agreement, including any violation of the Code of Conduct above; (b) any allegation that any materials that you submit to us or transmit to our web sites infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (c) your activities in connection with the Service or any Guildhall Precious Metals Online products or services. You must assume responsibility and liability for all decisions that you make on the basis of the information herein contained. Guildhall Precious Metals Online makes no warranties, expressed or implied, as to the fitness and accuracy of the information provided or for the results obtained by using the information. Those making investment decisions based on any of the information presented should do so in the knowledge that they could experience significant losses. In no event shall Guildhall Precious Metals Online be liable for direct, indirect, or incidental damages resulting from the use of the information.

20. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario, without regard to conflict of laws or principles.

21. DISPUTE RESOLUTION
It is the goal of Guildhall Precious Metals Online and its affiliates to resolve any and all disputes or disagreements amicably and expeditiously. To this end, you and Guildhall Precious Metals Online agree that all disputes and disagreements shall be resolved through “Mediation Court” with a neutral mediator selected by both parties. If one party decides to discontinue mediation and pursue trial and it is determined by the court that this party acted unreasonably in its pursuit, forcing the other party to incur unwarranted legal fees, the court may award attorney fees and court costs to the party that tried to resolve the matter through mediation.

22. DEPOSITORY POLICY

  • Guildhall Wealth Management (GWM) makes complete physical delivery of its precious metal products in all cases to its customers.
  • Physical delivery is typically made within industry-standard time periods (generally within 28 days)
  • GWM does not offer unallocated positions or interest in precious metals. In the case of non-fungible precious metals (e.g. bars bearing serial numbers) the customer is provided with the serial numbers for their bars in the form of an itemized inventory report. In the case of fungible products (e.g. Canadian Maple Coins) the products are recorded by bar type, bar size, fineness, and refiner.
  • In Canada GWM only provides an arms-length fully insured precious metals depository, an IIROC-approved independent vault facility.
  • Customer accounts are opened in the name of the customer and provide the customer with unrestricted access to their precious metals products held in their accounts.
  • GWM does not directly or indirectly offer or facilitate financing for the purchase of its precious metals products. GWM only deals in physical precious metals which the client has the option to take home delivery at any time.
